1. Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen (nachfolgend „AGB") gelten für alle Verträge zwischen Roger Hotz, St. Gallen, Schweiz (nachfolgend „Künstler"), und Käufern (nachfolgend „Käufer") über den Verkauf von Originalkunstwerken, die über die Website rogerhotz.ch angefragt oder vermittelt werden.

Mit der Aufgabe einer Anfrage über das Kontaktformular oder per E-Mail akzeptiert der Käufer diese AGB.

1. Scope

These terms and conditions (hereinafter "T&C") govern all agreements between Roger Hotz, St. Gallen, Switzerland (hereinafter the "Artist"), and buyers (hereinafter the "Buyer") concerning the sale of original works of art enquired about or arranged via the website rogerhotz.ch.

By submitting an enquiry via the contact form or by email, the Buyer accepts these T&C.

2. Vertragsgegenstand

Gegenstand des Vertrages ist der Verkauf eines vom Künstler geschaffenen Originalkunstwerks (Unikat). Jedes Werk ist handgefertigt; geringfügige Abweichungen in Farbe, Struktur oder Format gegenüber den Abbildungen auf der Website sind kunsthandwerklich bedingt und stellen keinen Mangel dar.

2. Subject of the Contract

The subject of the contract is the sale of an original work of art (one of a kind) created by the Artist. Each work is hand-made; minor deviations in colour, texture or format from the images shown on the website are inherent to the handcrafted nature of the work and do not constitute a defect.

3. Preise

Sämtliche Preise verstehen sich auf Anfrage. Der Künstler nennt den Preis individuell auf Basis der Anfrage des Käufers. Preise sind Nettopreise in Schweizer Franken (CHF). Allfällige Mehrwertsteuer, Zölle oder Einfuhrabgaben sind, soweit anwendbar, separat ausgewiesen oder vom Käufer zu tragen.

3. Prices

All prices are on request. The Artist quotes the price individually based on the Buyer's enquiry. Prices are net prices in Swiss Francs (CHF). Any applicable VAT, customs duties or import charges are stated separately or borne by the Buyer.

4. Bilderrahmen

Werke werden grundsätzlich ungerahmt geliefert. Bilderrahmen sind nicht im Kaufpreis enthalten und werden, falls gewünscht, individuell pro Werk ausgewählt und beschafft. Die geeignete Rahmung hängt von der Technik, dem Format und der Materialität des jeweiligen Werks ab; eine pauschale Auswahl ist deshalb nicht möglich.

Auf Wunsch berät der Künstler den Käufer bei der Auswahl eines passenden Rahmens und holt entsprechende Offerten ein. Die Auswahl, Beschaffung und Berechnung des Rahmens erfolgen gesondert und sind nicht Teil des Kaufvertrages über das Werk.

4. Frames

Works are generally delivered unframed. Frames are not included in the purchase price and, if requested, are selected and sourced individually for each painting. A suitable frame depends on the technique, format and materials of the specific work; a one-size-fits-all selection is therefore not possible.

On request the Artist will advise the Buyer in choosing a suitable frame and obtain corresponding quotations. The selection, procurement and pricing of the frame are handled separately and are not part of the purchase contract for the work itself.

5. Vertragsabschluss

Anfragen über das Kontaktformular oder per E-Mail stellen ein unverbindliches Angebot des Käufers zur Aufnahme von Verkaufsverhandlungen dar. Der Vertrag kommt erst durch ausdrückliche Annahme (Auftragsbestätigung) durch den Künstler in Textform zustande.

5. Conclusion of Contract

Enquiries via the contact form or by email constitute a non-binding offer by the Buyer to enter into sales negotiations. The contract is only concluded upon express acceptance (order confirmation) by the Artist in text form.

6. Zahlung

Soweit nicht anders vereinbart, ist der Kaufpreis vor Versand des Werks vollständig im Voraus per Banküberweisung zu bezahlen. Das Eigentum am Werk geht erst mit vollständiger Zahlung auf den Käufer über (Eigentumsvorbehalt).

6. Payment

Unless otherwise agreed, the purchase price is payable in full in advance by bank transfer prior to shipment of the work. Ownership of the work passes to the Buyer only upon full payment (retention of title).

7. Lieferung und Versand

7.1 Versandart. Der Versand erfolgt — soweit nichts anderes vereinbart ist — als versichertes Paket über einen vom Künstler gewählten Versanddienstleister.

7.2 Internationale Lieferungen. Der Künstler liefert grundsätzlich auch ins Ausland. Allfällige Zölle, Einfuhrsteuern und sonstige im Bestimmungsland anfallende Abgaben sind ausschliesslich vom Käufer zu tragen.

7.3 Lieferkosten. Sämtliche Versand-, Verpackungs- und Versicherungskosten trägt der Käufer und werden zusätzlich zum Kaufpreis in Rechnung gestellt.

7.4 Haftungsausschluss Lieferung. Der Künstler übernimmt keine Haftung für Schäden, Verluste oder Verzögerungen, die im Zuge der Lieferung durch den Versanddienstleister entstehen. Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung geht mit Übergabe des Werks an den Versanddienstleister auf den Käufer über. Allfällige Schadensansprüche sind direkt gegenüber dem Versanddienstleister geltend zu machen; der Künstler unterstützt den Käufer dabei nach Möglichkeit, ist hierzu jedoch nicht verpflichtet.

7. Delivery and Shipping

7.1 Method of shipping. Unless otherwise agreed, shipping is carried out as an insured parcel via a shipping provider chosen by the Artist.

7.2 International deliveries. The Artist generally also ships abroad. Any customs duties, import taxes and other charges levied in the country of destination are borne exclusively by the Buyer.

7.3 Shipping costs. All shipping, packaging and insurance costs are borne by the Buyer and are invoiced in addition to the purchase price.

7.4 Disclaimer of liability for shipping. The Artist accepts no liability for damage, loss or delay arising in the course of delivery by the shipping provider. The risk of accidental loss or deterioration passes to the Buyer upon handover of the work to the shipping provider. Any claims for damages must be asserted directly against the shipping provider; the Artist will assist the Buyer where reasonably possible, but is not obliged to do so.

8. Gewährleistung

Da es sich bei den Werken um handgefertigte Unikate handelt, beschränkt sich die Gewährleistung auf die Echtheit und die wesentlichen, in der Auftragsbestätigung beschriebenen Eigenschaften (Technik, Maße, Jahr). Offensichtliche Mängel sind innert 7 Tagen nach Erhalt schriftlich anzuzeigen.

8. Warranty

As the works are hand-made, one-of-a-kind pieces, the warranty is limited to authenticity and the essential characteristics described in the order confirmation (technique, dimensions, year). Obvious defects must be reported in writing within 7 days of receipt.

9. Widerrufsrecht

Da es sich um nach Kundenwunsch ausgewählte, individuelle Originalkunstwerke handelt, besteht — soweit gesetzlich zulässig — kein Widerrufsrecht.

9. Right of Withdrawal

As these are individually selected, one-of-a-kind original works of art chosen at the Buyer's request, no right of withdrawal exists, to the extent permitted by law.

10. Urheberrecht

Sämtliche Werke sind urheberrechtlich geschützt. Mit dem Kauf erwirbt der Käufer das Eigentum am physischen Werk, jedoch keinerlei Verwertungsrechte. Eine Vervielfältigung, Reproduktion, gewerbliche Nutzung oder Veröffentlichung (auch in sozialen Medien zu kommerziellen Zwecken) bedarf der vorgängigen schriftlichen Zustimmung des Künstlers.

10. Copyright

All works are protected by copyright. By purchasing a work, the Buyer acquires ownership of the physical piece but no exploitation rights whatsoever. Any duplication, reproduction, commercial use or publication (including on social media for commercial purposes) requires the prior written consent of the Artist.

11. Datenschutz

Die im Rahmen einer Anfrage oder eines Kaufs übermittelten personenbezogenen Daten werden ausschliesslich zur Vertragsabwicklung verarbeitet. Es gelten die Bestimmungen der Datenschutzerklärung.

11. Data Protection

Personal data submitted in the context of an enquiry or purchase is processed solely for the purpose of contract performance. The provisions of the Privacy Policy apply.

12. Anwendbares Recht und Gerichtsstand

Es gilt ausschliesslich Schweizer Recht unter Ausschluss des UN-Kaufrechts (CISG). Ausschliesslicher Gerichtsstand für sämtliche Streitigkeiten aus oder im Zusammenhang mit diesem Vertrag ist — soweit gesetzlich zulässig — St. Gallen, Schweiz.

12. Applicable Law and Jurisdiction

Swiss law applies exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any disputes arising from or in connection with this contract is — to the extent permitted by law — St. Gallen, Switzerland.

13. Salvatorische Klausel

Sollten einzelne Bestimmungen dieser AGB ganz oder teilweise unwirksam sein oder werden, so wird die Wirksamkeit der übrigen Bestimmungen hiervon nicht berührt. Anstelle der unwirksamen Bestimmung gilt diejenige wirksame Regelung als vereinbart, die dem wirtschaftlich Gewollten am nächsten kommt.

13. Severability

Should individual provisions of these T&C be or become wholly or partially invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provision, the valid arrangement that comes closest to the intended commercial purpose shall be deemed agreed.
